United Sportsplex General  Fundraising Terms Agreement

Introduction

By engaging with United Sportsplex for the organization, management, and hosting of fundraising events, you ("the Client") agree to the following terms and conditions:

Scope of Services

United Sportsplex will organize, manage, and host fundraising events for local community organizations. Services may include, but are not limited to, event planning, logistics coordination, marketing support, and revenue-sharing contributions.

Payment and Revenue Sharing

The Client agrees to compensate United Sportsplex according to a predetermined service fee. Revenue generated from the fundraising event will be shared between United Sportsplex and the Client according to a predetermined revenue-sharing model.

Responsibilities and Obligations

United Sportsplex commits to conducting all aspects of the fundraising event professionally and in accordance with local laws. The Client is responsible for providing accurate and complete information for the promotion and execution of the event.

​

Intellectual Property

All promotional materials related to the fundraising event, including but not limited to logos, brochures, and digital assets, will be the exclusive property of United Sportsplex.

Liability and Indemnification

Neither United Sportsplex nor the Client shall be held liable for any indirect, incidental, or consequential damages arising out of or related to this agreement. Both parties agree to indemnify and hold each other harmless from any losses, damages, costs, or expenses arising out of a breach of these terms.

Confidentiality

Both parties agree to maintain the confidentiality of all information obtained during the planning and execution of the fundraising event.

Termination and Financial Implications

Either party may terminate this Agreement with 30 days' written notice. Should either party choose to terminate, it must be understood that no financial gains would be realized from the event, as donations are only collected at the time of the event itself.

In the event of termination by the Client:

• The Client acknowledges that United Sportsplex may have incurred out-of-pocket expenses related to the planning and execution of the event (e.g., ordering of shirts, reservation fees).

• The Client shall reimburse United Sportsplex for all verifiable, non-recoverable expenses incurred up to the point of written notification of termination.

In the event of termination by United Sportsplex:

• United Sportsplex agrees to cease any ongoing promotional efforts and will notify any third parties involved, such as vendors or volunteers, of the termination.

• United Sportsplex will take all reasonable steps to minimize any costs or obligations incurred up to the point of termination.

Miscellaneous

This General Terms Agreement represents the full understanding between United Sportsplex and the Client and supersedes all prior agreements or understandings, whether written or verbal.
